Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platforms, products, and services provided by Yogic Verse ("Company", "we", "us", or "our"), operated under the legal entity registered in India. By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Definitions

  • "Services" refers to all products, platforms, tools, websites, marketing services, CRM systems, AI chatbot, website development, consulting, and any other offerings provided by Yogic Verse.
  • "User" or "Client" refers to any individual, business, or entity that accesses or uses our services.
  • "Platform" refers to yogicverse.com and any associated subdomains, applications, or digital properties.
  • "Content" refers to all text, images, data, software, designs, reports, and materials available on or through our services.

2. Eligibility

By using our services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into a binding agreement.
  • You are not prohibited from using our services under any applicable law.
  • If acting on behalf of a business entity, you have the authority to bind that entity to these Terms.

3. Services Provided

Yogic Verse provides the following services for wellness businesses:

  • Wellness CRM Software (SaaS platform for seeker management, booking, and operations)
  • AI Wellness Chatbot (automated seeker engagement and lead qualification)
  • Website Development (SEO-optimized websites for wellness centers)
  • Performance Marketing (Google Ads, Meta Ads, funnel optimization)
  • Business Process Optimization (CRM integration, call center setup, automation)
  • Sales Operations Setup (training, conversion systems, KPI dashboards)
  • Consulting and Strategy Services

The scope, deliverables, timelines, and pricing for each engagement are defined in individual service agreements, proposals, or statements of work executed between Yogic Verse and the client.

4. User Accounts and Access

  • Certain services may require you to create an account or provide credentials for access.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Intellectual Property Rights

5.1 Yogic Verse Intellectual Property

All content, software, code, designs, logos, trademarks, trade names, service marks, proprietary tools, CRM systems, AI models, marketing frameworks, processes, methodologies, and documentation created by or belonging to Yogic Verse are the exclusive property of Yogic Verse and are protected under applicable intellectual property laws of India and international treaties.

You may not:

  • Copy, reproduce, distribute, or create derivative works from our proprietary content or tools.
  • Reverse engineer, decompile, or disassemble any software or technology provided by us.
  • Use our trademarks, logos, or branding without prior written consent.
  • Resell, sublicense, or redistribute our services or deliverables to third parties.

5.2 Client Content

You retain ownership of content, data, and materials you provide to us for the purpose of service delivery. By providing such content, you grant Yogic Verse a non-exclusive, limited license to use, process, and display such content solely for the purpose of delivering the agreed services.

6. Third-Party Platforms and Integrations

Our services may involve integration with or use of third-party platforms, tools, and services. These include but are not limited to:

  • Google Ads and Google Analytics (subject to Google Ads Terms of Service and Google Privacy Policy)
  • Meta Ads / Facebook Ads (subject to Meta Business Tools Terms and Meta Privacy Policy)
  • Zoho CRM (subject to Zoho Terms of Service)
  • HubSpot CRM (subject to HubSpot Customer Terms of Service)
  • LeadSquared (subject to LeadSquared Terms of Use)
  • WATI and Gallbox (WhatsApp Business API providers, subject to WhatsApp Business Terms and respective platform terms)
  • Callerdesk and Tata Smartflow (call tracking and telephony, subject to their respective terms)
  • Razorpay (payment processing, subject to Razorpay Terms of Use)
  • Hostinger (hosting services, subject to Hostinger Terms of Service)
  • WhatsApp Business API (subject to WhatsApp Business Solution Terms)
  • OpenAI / AI Services (for AI chatbot functionality, subject to OpenAI Terms of Use)
  • Sanity CMS (content management, subject to Sanity Terms of Service)
  • Vercel / Hosting Platforms (deployment, subject to respective platform terms)

Yogic Verse is not responsible for the terms, policies, availability, performance, or actions of any third-party platform. Your use of third-party services is governed by their respective terms and privacy policies. We strongly recommend reviewing those terms independently.

7. Payment Terms

  • All fees, pricing, and payment schedules are defined in individual service agreements or proposals.
  • Payments are due as per the agreed schedule. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law.
  • All fees are exclusive of applicable taxes (GST, service tax, etc.) unless explicitly stated otherwise.
  • Payments made are non-refundable unless explicitly stated in the service agreement or covered under our Refund Policy.
  • We reserve the right to suspend services for overdue payments exceeding 15 days.

8. Service Level and Delivery

  • Yogic Verse will make commercially reasonable efforts to deliver services as described in the agreed scope of work.
  • Timelines provided are estimates and may vary based on client responsiveness, content availability, and third-party dependencies.
  • We do not guarantee specific results, rankings, lead volumes, or revenue outcomes from marketing or technology services.
  • Performance metrics shared are based on historical data and industry benchmarks and are not guarantees of future performance.

9. Data Handling and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection, processing, and storage of data as described in our Privacy Policy. We implement industry-standard security measures to protect your data but cannot guarantee absolute security.

10. Prohibited Uses

You agree not to:

  • Use our services for any unlawful, fraudulent, or harmful purpose.
  • Interfere with or disrupt the operation of our platforms or services.
  • Attempt to gain unauthorized access to our systems, networks, or data.
  • Upload or transmit viruses, malware, or any harmful code.
  • Use our services to send unsolicited communications (spam).
  • Misrepresent your identity or affiliation with any person or entity.
  • Scrape, crawl, or extract data from our platforms without written permission.
  • Use our AI chatbot or tools to generate misleading medical advice or claims.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Yogic Verse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Yogic Verse in the twelve (12) months preceding the claim.
  • We are not liable for any losses arising from third-party platform outages, policy changes, account suspensions, or data breaches on third-party systems.
  • We are not liable for any losses resulting from your failure to maintain adequate security of your account credentials or systems.

12. Indemnification

You agree to indemnify, defend, and hold harmless Yogic Verse, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of our services, your violation of these Terms, your violation of any third-party rights, or any content you provide to us.

13. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. Yogic Verse expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

14. Termination

  • Either party may terminate the service engagement as per the terms defined in the individual service agreement.
  • Yogic Verse reserves the right to suspend or terminate your access to any service immediately, without prior notice, if you breach these Terms.
  • Upon termination, your right to use our services ceases immediately. Any outstanding payments remain due.
  • Provisions relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

15. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of the service relationship for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

16. Force Majeure

Yogic Verse shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, third-party platform outages, cyberattacks, or any other force majeure event.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.

18. Modifications to Terms

Yogic Verse reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after any modifications constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, Refund Policy, and any individual service agreements, constitute the entire agreement between you and Yogic Verse regarding the use of our services and supersede all prior agreements, communications, and understandings.
